Why some deadlines move
The 45-day calculation can land on a weekend or federal holiday. Exchange Act Rule 0-3(a), as summarized by the SEC FAQ, moves the deadline to the first business day afterward. For example, the December 31, 2025 report was nominally due on Saturday, February 14, 2026; because Monday was a federal holiday, its deadline moved to Tuesday, February 17, 2026.

Reporting quarter vs. filing date
The reporting quarter tells you when the disclosed positions applied. The filing deadline is later. A 2Q 2026 filing due August 14 describes positions as of June 30, not holdings as of the August filing date.
Research pages should show both dates so readers do not interpret delayed 13F holdings as current positions.

What if a filing is late?
The SEC FAQ states that it does not grant extensions and directs a late filer to submit as soon as possible without making a misleading or incorrect filing.
